Terms of Service
These Terms govern purchases through Banetti Checkout from Banetti SDV, Inc., referred to here as Banetti or we. This checkout is for United States purchasers buying software, digitally delivered content and downloads, and services. We do not sell or ship physical goods through this checkout. The Subscription and Cancellation Terms, Refund and Credit Policy, and Acceptable Use Policy form part of these Terms. The Privacy Notice explains how we handle billing information.
Purchaser and authority
You must be at least 18 and legally able to enter this agreement. Give us accurate account, contact, purchaser, and billing information. If you buy for a company or another organization, you confirm that you have authority to bind it; that organization is the purchaser. An individual order is the responsibility of the named individual.
Your order and this agreement
Before you pay, review the product, included service, quantity, price, currency, tax treatment, billing interval, and any trial or delivery date in your checkout summary. That accepted offer is part of your agreement. A separately signed agreement controls only the subjects it expressly replaces. Otherwise, the checkout offer controls product and price details and these Terms control general billing. Product terms must be provided before purchase and cannot remove the refund rights stated here or rights that cannot legally be waived.
Delivery and access
For software subscriptions, access begins after successful payment or the start of an expressly offered trial and completion of the product's account setup. The product supplies the purchased functionality and access instructions. For digital content or downloads, the offer must identify the format, any material compatibility or access restrictions, how delivery occurs, and whether access is permanent, time-limited, or tied to a subscription. Delivery may be a download link or access through the product; the promised timing is part of the offer. For consulting or other scheduled services, the accepted offer must describe the work and delivery schedule. Contact accounting@banetti.com if you paid but cannot obtain the agreed content, access, or service.
Payment and taxes
Stripe processes payments for us. You authorize the amount displayed before payment, including applicable taxes, and subscription charges only if you separately accept recurring billing. Use an authorized payment method and an accurate United States billing address; tell us if that address changes. Taxes are calculated from the applicable rules and billing information. Banetti Checkout does not store full card numbers or card security codes. Do not send payment credentials by email.
Individual and organization access
The offer identifies individual or organization access and its access model. Under seat-limited access (seat_limited), access is limited to the purchased seats and permitted assignments. A company purchase or verified email domain does not grant unlimited seats under that model. Under account-members access (account_members), access covers the individual account holder or the organization's authorized members, with no purchased seat cap or per-member fee. Adding members does not multiply the account's shared usage allowance. The offer must state any eligible domains and verified-domain limit; account-members access does not remove those limits. The product verifies identity and membership and enforces tenant boundaries and product permissions. An organization administrator may manage members and see information needed to administer their access. Domain membership alone does not authorize access to an account, tenant, or product. Individual credentials must not be shared. An offer without an access model retains seat-limited access; these terms do not reinterpret an earlier agreement.
License and your information
During your authorized access period, you may use the purchased software, digital content, or service for its stated purpose within the offer's limits. A digital purchase grants the use rights stated in the offer, not permission to resell, publicly redistribute, or share a licensed copy beyond those rights. Banetti and its licensors retain ownership of the software, supplied content, documentation, and branding. You retain your rights in information you supply and give us only the permissions needed to process it for the service and as described in the applicable privacy notice. No ownership of your content transfers merely because you pay through Checkout.
Usage and additional purchases
Products may record usage to administer access and explain activity. Usage tracking alone does not authorize additional charges. Before purchase, the offer must disclose each included usage allowance, whether it is shared across the account, what event consumes a unit or creates a billable event, how failed or cancelled requests and retries are counted or credited, and what happens when an allowance is exhausted. It must also state the usage period, reset timing and time zone, expiry, and whether unused units carry over. Shared account allowances are not multiplied by the number of members. A no-overage offer stops or limits the affected usage when its allowance is exhausted and does not charge automatically for more. A new seat purchase where applicable, upgrade, or future usage-based charge requires the amount or calculation method, billing period, and limits to be disclosed and accepted before it applies. A usage limit does not silently become a paid overage.
Service changes and suspension
We may maintain and improve a service while preserving the material features of the paid offer during the current period. Access may be restricted for unpaid charges or a material breach, or promptly where reasonably necessary to address a security threat or legal obligation. Where practical, we will explain the restriction and provide an opportunity to resolve the issue. If we discontinue a paid service without your breach, we will refund its unused prepaid period. Suspension does not authorize extra charges.
Service commitments
We will provide the service described in your accepted offer with reasonable care. Except for express commitments in that offer and rights required by law, the service is provided as available, without a promise of uninterrupted operation, error-free results, or fitness for every particular purpose. You are responsible for reviewing outputs and deciding whether they are suitable for your use. This section does not excuse failure to deliver the purchased service or limit the Refund and Credit Policy.
Limits of liability
To the extent permitted by applicable law, neither party is liable under this agreement for indirect or consequential losses, and each party's total liability for the affected service is limited to the greater of $100 or the fees paid for that service in the 12 months before the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, a refund or payment obligation under this agreement, or liability or remedies that cannot legally be limited. Consumer rights required by law remain available.
Resolving questions
Please contact accounting@banetti.com with an agreement or billing concern so we can try to resolve it. This is not a required step before exercising a legal right. Applicable United States law governs, including any mandatory protections in your state. These Terms do not require arbitration, waive class actions, or require consumers to bring claims outside a court otherwise available under applicable law.
Changes and notices
A new dated version does not silently replace the terms accepted for an existing order. Material changes to an ongoing subscription require advance notice and any required consent, as described in the Subscription and Cancellation Terms. Billing messages go to the billing contact supplied for the order; keep that address current. You can save or print these documents and request a copy of your accepted terms from accounting@banetti.com. If a provision is unenforceable, the rest applies to the extent the agreement can fairly continue. Our failure to enforce a provision once is not a waiver of it.
